1. Introduction
Welcome to KTS Export Solar (“KTS Export”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, products, services, and any related content (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
Our Services are operated from South Africa and are intended for users who are legally capable of entering into binding contracts. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Definitions
- “User” means any person or entity that accesses or uses the Services.
- “Customer” means a User who places an order, submits an enquiry, or enters into a transaction with us.
- “Content” means all information, text, images, data, links, software, or other materials that appear on or within the Services.
- “Order” means a request to purchase products or services through the Services.
- “Products” means the solar panels, equipment, and related goods listed on the Services.
3. Account registration and security
Access to certain features may require you to register an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use or security breach.
We reserve the right to suspend or terminate any account that we believe, in our sole discretion, has provided false information, violated these Terms, or engaged in fraudulent or harmful activity.
4. Orders, quotations, and acceptance
All product listings, prices, and descriptions are invitations to treat and do not constitute binding offers. A binding contract is formed only when we confirm acceptance of your order in writing (including by email or invoice). We may refuse or cancel any order for any reason, including stock availability, pricing errors, suspected fraud, or failure to meet export/import requirements.
Quotations provided through the Services are valid only for the period stated on the quotation or, if no period is stated, for 14 calendar days. Prices are subject to change without notice until an order is accepted.
5. Pricing and payment
Prices are quoted in South African Rand (ZAR) unless otherwise stated and exclude VAT, customs duties, shipping, insurance, and other applicable charges unless expressly included. Payment terms are set out in our Payments & Pricing Policy.
We use third-party payment processors. By submitting payment information, you authorise us and our processors to charge the applicable amount. You represent that you are authorised to use the selected payment method.
6. Intellectual property
All Content, trademarks, logos, trade names, software, and other intellectual property on the Services are owned by or licensed to KTS Export and are protected by South African and international intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any Content without our prior written consent.
You retain ownership of any content you submit to us (such as enquiries or feedback), but you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, and display that content for the purpose of operating and improving the Services and fulfilling your orders.
7. Prohibited conduct
You agree not to:
- use the Services for any unlawful purpose or in violation of any applicable law;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- interfere with or disrupt the Services, servers, or networks connected to the Services;
- attempt to gain unauthorised access to any portion of the Services or other users’ accounts;
- use any automated system, spider, scraper, or data-mining tool to access or collect Content;
- upload or transmit viruses, malware, or other harmful code.
8. Disclaimer of warranties
The Services and all Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Product specifications, condition grades, and images are provided for informational purposes. We do not warrant that product descriptions are accurate, complete, reliable, current, or error-free.
9. Limitation of liability
To the fullest extent permitted by law, KTS Export and its directors, employees, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to your use of the Services or any products purchased, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless KTS Export and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of these Terms, your violation of any third-party right, or any content you submit.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, all licences granted to you will cease, and you must immediately stop using the Services. Provisions that by their nature should survive termination will survive.
12. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of South Africa.
13. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
